CORPORATE GOVERNANCE: PRINCIPLES, MECHANISMS AND IMPLEMENTATION

The course is intended for senior and middle managers, as well as specialists of economic management bodies, their structural and regional divisions, senior and middle managers, as well as specialists of structural divisions, organizations and enterprises of public administration bodies operating on a self-supporting basis.

The purpose of the course is to develop relevant knowledge in the field of corporate governance, in particular, the essence of the corporate governance system, the basic principles and mechanisms, as well as the body of knowledge on the implementation of the corporate governance system, increasing the level of professional competence, comprehensive updating and improving the knowledge of students in this area.

The objective of the course is to study the regulatory framework of corporate governance in the Republic of Uzbekistan, modern corporate governance methods, governing bodies of joint-stock companies, mechanisms for monitoring and controlling activities, the basics of finance and marketing in the corporate governance system, develop a strategy for corporate institutions and attract investment in the activities of joint-stock companies , the basics of financial analysis, the development of communications in corporate organizations.

Programme of the course includes the following topics:

  • legal framework, goals, principles, models and mechanisms of corporate governance;
  • structure, powers, duties and responsibilities of corporate governance bodies.
  • powers, functions, duties and responsibilities of the Supervisory Board;
  • main functions and responsibilities of audit organizations and a corporate consultant. Mechanisms for assessing performance;
  • features of personnel management, the concept of corporate culture, corporate conflicts and ways to resolve them;
  • overview of financial management, marketing, international financial reporting (IFRS), dividend policy and taxation. Marketing, issue and credit market.

After completing the course, graduates will know: main provisions of the legislation of the Republic of Uzbekistan in the field of corporate governance; the essence, goals, objectives and principles of corporate governance, structure, models and bodies of corporate governance; material and non-material resources: financial, labor, and information resources, forces and means of corporate governance; the basics of conflict management, management, marketing, financial settlement; the basics of modern information and communication technologies; fundamentals of development, adoption and implementation of management decisions, socio-economic efficiency of management decisions; corporate governance performance indicators, economic criteria and risks of investment attractiveness of the enterprise; business plan, development strategy, marketing communications system, international quality management standards; be able to distinguish methods, mechanisms and bodies of corporate governance; classify structures and models of corporate governance; set out regulatory documentation, regulatory and legal acts of corporate governance; justify management decisions to optimize the organizational structure of the enterprise; prepare documentary reports and other documents on the state of corporate governance; determine the effectiveness of management decisions, evaluation of decision implementation and risk assessment; develop indicators of corporate governance effectiveness and perform calculations; have the skills to correctly choose the applicable legislation in the field of corporate governance; methods of applying financial management tools; the ability to assess the effectiveness of corporate governance; techniques for applying conflict management and personnel management methods; skills in applying methods and mechanisms of corporate governance; ways to implement international quality management standards; skills in developing an enterprise strategy to improve the effectiveness of corporate governance.

Form of study: full-time, full-time with a separation from work or with the possibility of distance learning.
